Terms of Service — AI Incident Commander

1. ACCEPTANCE OF TERMS
By accessing or using AI Incident Commander ("AIC," "the Service," "we," "us," or "our"), operated by NovaAI Technologies LLC, you ("you" or "user") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
2. SERVICE DESCRIPTION
AIC is an autonomous incident triage platform that:
- Analyzes production alerts from AWS CloudWatch/EventBridge
- Classifies incident severity (P0-P3)
- Executes AWS diagnostic commands automatically
- Posts structured notifications to Slack or Microsoft Teams
- Learns from historical incidents via self-learning RAG (Retrieval-Augmented Generation)
The Service runs on AWS infrastructure in the us-east-1 region. Additional regions may be added in the future.
3. FREE TRIAL
3.1 Trial Terms
- Duration: 30 days from account creation
- Incident Limit: Up to 500 incidents during trial period
- Features: Full platform access (all features included)
- Credit Card: Not required for trial activation
- Cancellation: May cancel at any time during trial with no penalty
3.2 Trial Expiration
- At the end of 30 days, the trial automatically expires
- You will receive email notifications at 15 days, 7 days, and 1 day before expiration
- To continue using the Service, you must contact sales to discuss paid plan options
- We reserve the right to delete trial data 30 days after trial expiration
3.3 Trial Restrictions
- One trial per company/organization
- Trial is for evaluation purposes only, not production use at scale
- We reserve the right to terminate trials that violate usage policies
4. PAID PLANS (Post-Trial)
4.1 Pricing
- Paid plan pricing is provided via custom quote based on your usage requirements
- Pricing is subject to change with 30 days written notice
- All fees are in U.S. Dollars
4.2 Payment Terms
- Payment via AWS Marketplace private offer OR direct invoice
- Fees are billed monthly in advance
- All fees are non-refundable except as required by law
4.3 Cancellation
- You may cancel paid service at any time by written notice to info@incidentai.io
- Cancellation effective at end of current billing period
- No refunds for partial months
5. USER OBLIGATIONS
5.1 Account Security
- You are responsible for maintaining the confidentiality of your API keys
- You must notify us immediately of any unauthorized use of your account
- We are not liable for losses caused by unauthorized use of your credentials
5.2 Acceptable Use
You agree NOT to:
- Use the Service for any illegal purpose
- Attempt to reverse engineer, decompile, or hack the Service
- Overload the Service with excessive API requests (abuse)
- Share API keys with unauthorized third parties
- Use the Service to process data you do not have rights to
- Violate any applicable laws or regulations
5.3 Data Accuracy
- You are responsible for the accuracy of alert data sent to AIC
- We provide diagnostic analysis based on the data you provide
- We are not responsible for incorrect triage if input data is inaccurate
6. DATA AND PRIVACY
6.1 Data Collection
We collect and process:
- Alert metadata (title, description, severity, service name, environment)
- AWS diagnostic output from commands we execute on your behalf
- Slack/Teams webhook URLs for notifications
- Usage metrics (number of incidents, API calls, response times)
6.2 Data Storage
- All data is stored in AWS us-east-1 region
- Data is encrypted at rest (AES-256) and in transit (TLS 1.2+)
- We use AWS RDS Multi-AZ for database redundancy
6.3 Data Retention
- Trial users: Data retained for 30 days after trial expiration, then deleted
- Paid users: Data retained for duration of service + 30 days after cancellation
- You may request data deletion at any time by emailing info@incidentai.io
6.4 Data Sharing
- We do NOT sell your data to third parties
- We may share data with:
- AWS (infrastructure provider)
- Anthropic (AI model provider via AWS Bedrock)
- Slack/Microsoft (for notifications, if you configure integration)

7. INTELLECTUAL PROPERTY
7.1 AIC IP
- NovaAI Technologies LLC owns all rights to the Service, including software, algorithms, and documentation
- We grant you a limited, non-exclusive, non-transferable license to use the Service
- Patent pending (Application #64/033,032)
7.2 User Data
- You retain all rights to your incident data
- We may use aggregated, anonymized data for service improvement
- We will never use your specific incident details for marketing without permission
8. SERVICE AVAILABILITY
8.1 Uptime
- Free trial: Best-effort availability, no SLA
- Paid plans: Target uptime as specified in your service agreement
- Scheduled maintenance will be announced 48 hours in advance
8.2 No Warranty
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DO NOT GUARANTEE:
- Uninterrupted or error-free operation
- Specific MTTR reduction or performance improvements
- Compatibility with all versions of AWS services
- Accuracy of AI-generated diagnostic recommendations
9. LIMITATION OF LIABILITY
9.1 Disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- We are not liable for any indirect, incidental, consequential, or punitive damages
- Our total liability shall not exceed fees paid in the 12 months prior to the claim
- We are not responsible for production outages, data loss, or revenue loss caused by use of (or inability to use) the Service
9.2 Critical Systems
AIC is NOT certified for use in:
- Life-critical systems (medical devices, aviation, etc.)
- Systems where failure could cause death or serious injury
- Nuclear facilities or weapon systems
Do not rely solely on AIC for critical incident response. Always have human oversight.
10. SUPPORT
10.1 Support Channels

- Support hours: Monday-Friday, 9:00 AM - 5:00 PM Eastern Time (excluding U.S. holidays)
10.2 Support SLA
- Free trial: 24-48 hour response time (best effort)
- Paid plans: Response times as specified in your service agreement
11. TERMINATION
11.1 By You
- You may terminate at any time by canceling your account
- No refunds for unused portions of paid plans
11.2 By Us
We may suspend or terminate your access if:
- You violate these Terms
- Your account is used for fraudulent or illegal activity
- You exceed trial limits or abuse the Service
- Payment is past due (for paid plans)
11.3 Effect of Termination
- Your access to the Service will end immediately
- We will delete your data 30 days after termination (unless you request earlier deletion)
- Sections 6-9 survive termination
12. CHANGES TO TERMS
- We may update these Terms at any time
- We will notify you of material changes via email 30 days in advance
- Continued use of the Service after changes constitutes acceptance
- If you do not agree to changes, you must cancel your account
13. GENERAL PROVISIONS
13.1 Governing Law
- These Terms are governed by the laws of the Commonwealth of Virginia, USA
- Disputes shall be resolved in courts located in Fairfax County, Virginia
13.2 Entire Agreement
- These Terms constitute the entire agreement between you and NovaAI Technologies LLC
- Supersedes any prior agreements or understandings
13.3 Severability
- If any provision is found invalid, the remaining provisions remain in effect
13.4 No Waiver
- Failure to enforce any provision does not waive our right to enforce it later
13.5 Assignment
- You may not assign these Terms without our written consent
- We may assign these Terms to any successor or affiliate
